By continuing the business, you will end the existence of the corporation in its present location and continue its existence in a new province or country.

2 Pay.

We get your business number and provide you with an exact estimate of the cost based on your corporation’s current jurisdiction and where it intends to continue its existence.

3 File.

Once we have all the information necessary, we file for the continuance. Depending on where the business is being transferred to or from, certain documents will need to be filed at the Corporate Registry.

4 Certificate.

Once the filing is complete, you will receive a Certificate of Continuance with an effective date from the registry.

The continuance of a business is the way to transfer the existence of corporation, without interruption, to another jurisdiction under the provisions of another law.

You can continue a corporation from another province to Quebec law.

You can continue a federal corporation to Quebec law.

On the other hand, the alternative applies. You can continue a corporation from Quebec to another Canadian province or under Canadian federal law. You can also continue a corporation from Quebec to an international country.

When continuing a business from Quebec to another province or vice-versa (from another province to Quebec), you will have to file the articles of continuance at the corporate registry and pay the fees associated therewith.

If you want to continue a business from Quebec law to an international law, you will have to:

  1. File the articles of continuance
  2. Provide a report from a lawyer of that country confirming that the corporation will remain a limited liability corporation
  3. Provide a copy of the law from that country regarding corporations
  4. Pay the fees at the Quebec Corporate Registry

When your business is continued under another jurisdiction, its existence will end under its current existence and it will begin existing under the laws of the new jurisdictions.

Once your corporation’s continuance is confirmed, you will receive a certificate of continuance from the registry confirming the business continuance.
