Once you have a corporation, you will have to fulfill certain yearly legal obligations:
- File your annual declaration with the Corporate registry (Federal or Provincial) within the delay required
- Acquit any fees at the Corporate registry when you file your annual declaration
- Prepare annual resolutions approving the financial statements of the corporation and file the annual resolutions into your minute book
- Inform the Corporate registry (Federal or Provincial) of any changes made in your business (ex. your name, address, directors…etc.)
Whether you are incorporated in Quebec or federally, if you do not file your annual declaration at the registry within the prescribed time period, you can be subject to penalty fees.
If you have not filed your annual declarations for two consecutive years, the government will dissolve your corporation. In the event that the corporation is then dissolved by the government, you will have to revive your corporation in order to continue your business activities.
Certain updates or amendments of your business are subject to additional fees at the Corporate registries.
For instance, if you change your name, amend your articles, dissolve your corporation…etc., you will be subject fees at the Corporate registries.
